Seneca Digital Marketing LLC User Terms

These User Terms (the “User Terms”) set forth the rules and guidelines governing the use of the Platform and other Services for Users and apply to all Users of the Services. These User Terms govern, among other things, what is called User Generated Content or “UGC.” UGC is content of any kind or nature, whether material, active or otherwise, that Users (including but not limited to Business Partners) upload, create and post on senecaeducation.co are on the Services and are therefore subject to these User Terms, which are incorporated herein by reference All Users are also subject to any other application of Seneca Digital Marketing LLC Terms available in the Seneca Digital Marketing LLC Terms and Conditions section.

These User Terms comprise many of the terms applicable to Users, but also contain cross references to other Seneca Digital Marketing LLC Terms that may be applicable to Users (for example, the Seneca Digital Marketing LLC Terms and Conditions, so be sure to read and understand those other Seneca Digital Marketing LLC Terms as well, as Users are responsible for complying with them). 1. This is a legal agreement

If the user does not agree to any modifications or updates to these User Terms or any other Seneca Digital Marketing LLC Terms, the user should no longer use the Services. If User uses the Services after Seneca Digital Marketing LLC has posted updates to these User Terms or other Seneca Digital Marketing LLC Terms,
   3. Service Updates.
      Seneca Digital Marketing LLC has the right to change or discontinue the Services (or any part thereof) at any time with prior notice, which may be through an email to the User or through a notice on the Seneca Digital Marketing website. LLC (and such notice shall be effective immediately after such notice is sent or posted) and without further liability to Users. 1. Termination of User Terms.
   Upon termination of these User Terms or any other Seneca Digital Marketing LLC Terms, the rights and duties of Seneca Digital Marketing LLC and the User to each other will terminate.

2. User account
   1. Creating an account.
      To access some elements of the Services, Users need to create an account on senecaeducation.co, Seneca Digital Marketing LLC (“Account”). You agree to always provide Seneca Digital Marketing LLC with true information and to keep that information up to date. Remember, Seneca Digital Marketing LLC may take steps to ensure that the information users provide to Seneca Digital Marketing LLC is accurate. A User may never allow anyone else to use their Account (except for guardians in the case of a minor User). If a User believes that their Account is not secure, the user should notify Seneca Digital Marketing LLC immediately by contacting Seneca Digital Marketing LLC support. If someone asks you for a User’s password or personal information, the User must report it immediately using the “contact” function.
   2. Suspension or termination of the account.
      If the user violates these user terms or any other applicable Seneca Digital Marketing LLC Terms, the user’s right to use the Services terminates. In response to a User’s violation of these User Terms (or other applicable Seneca Digital Marketing LLC Terms), Seneca Digital Marketing LLC may also (i) suspend or terminate a User’s account or User’s access to the Services, or (ii) remove any Virtual Items or other content User may have on the Service. Seneca Digital Marketing LLC may also terminate a User account in accordance with its termination policy in appropriate circumstances and as Seneca Digital Marketing LLC determines, in its sole discretion,
      Notice and Appeal. Seneca Digital Marketing LLC may notify User if Seneca Digital Marketing LLC (i) suspends or terminates a User Account or User’s access to the Services or (ii) removes Virtual Items or other content User has on the Services in violation of these User Terms, or any other applicable Seneca Digital Marketing LLC terms, in response to law enforcement requests, or as required by law. Seneca Digital Marketing LLC may provide User the opportunity to request another review of Seneca Digital Marketing LLC’s decision. Users who violate these User Terms or any other applicable Seneca Digital Marketing LLC Terms will not be entitled to anything from Seneca Digital Marketing LLC so all Users should be sure to follow the rules! For any Minor User, their guardian may ask Seneca Digital Marketing LLC to terminate the Minor User Account by contacting Seneca Digital Marketing LLC support.
3. Seneca Points

What are Seneca Points? EITHER“Seneca points” is the official currency of the Platform and can be used by Users to purchase things, such as Virtual Items and access to Experiences, on the Platform. Seneca points have no real currency value, which means they are not a substitute for real currency and do not earn interest. Except as otherwise provided in the Seneca Digital Marketing LLC Terms, Seneca points are not redeemable for any other currency and Seneca Digital Marketing LLC is not obligated to exchange User Seneca points for anything else of value. Remember: Only those over the age of 18 can purchase Seneca points and participate in other real money transactions on the Platform.

When User purchases Seneca points, User receives only a limited, non-refundable, non-transferable license to use Seneca points solely for User’s personal entertainment, in connection with the Services, and in ways permitted by Seneca Digital Marketing LLC in the applicable Seneca Digital Marketing LLC Terms. The user’s license to use Seneca points will terminate when these User Terms or the user’s account is terminated, or as otherwise described in the Seneca Digital Marketing LLC Terms.

Users may obtain a limited license to use Seneca points: (i) by purchasing or otherwise receiving Seneca points from Seneca Digital Marketing LLC; (ii) by purchasing memberships that include a number of Seneca points; by trading Virtual Items with other Users (as more fully described in Section 4(d) below); or (vi) through other ways that Seneca Digital Marketing LLC may sometimes offer.

Seneca points are non-refundable.
All payments for Seneca points are final and non-refundable, except as required by law. Users may not use or distribute Seneca points except through the Services and as expressly permitted by Seneca Digital Marketing LLC Any use or attempted use of Seneca points in violation of the Seneca Digital Marketing LLC Terms will be void (i.e., automatically terminated) and may result in immediate termination of User’s account and User’s right to use Seneca points. Seneca Digital Marketing LLC does not acknowledge and is not responsible for third-party services that allow Users to sell, transfer, or otherwise use Seneca points and any such use by a User is a violation of the Seneca Digital Marketing LLC Terms. .

Seneca Digital Marketing LLC may place limits on Seneca points (for example, how much a user can purchase) or do things that change the perceived value of Seneca points (for example, reduce the cost of purchasing them) at any time. Except for the limited licenses granted in these User Terms, Seneca Digital Marketing LLC owns and retains all rights in Seneca points This includes the right to modify, revoke, or terminate a User’s license to use Seneca points without notice, payment, or responsibility for the User.

Seneca Digital Marketing LLC makes no warranty regarding Seneca points, or their availability, quality, or value.

Acquire things through the Services of Seneca Digital Marketing LLC.
Only through the Services can users use Seneca points to purchase virtual items, Experiences and other things offered by Seneca Digital Marketing LLC or Business Partners. Spending Seneca points through the Services is solely for a User’s personal entertainment and does not create any legally enforceable contract between the User and Seneca Digital Marketing LLC or any Creator, and the User by spending Seneca points does not acquire any enforceable legal rights. as a result of such transactions.

Acquire things from Business Partners.
When a user spends Seneca points to purchase something from a Content Creator, the Seneca points will generally be collected through the Services on behalf of the Creator unless the User is dealing directly with the Creator.

When a user spends Seneca points to purchase something from Seneca Digital Marketing LLC, the Seneca points are transferred directly to Seneca Digital Marketing LLC. All transfers made to Seneca Digital Marketing LLC are final and, unless otherwise permitted by Seneca Digital Marketing LLC through its policies or practices, non-reversible.

Promises and Liabilities Associated with Making Payments.
By purchasing Seneca points Seneca Digital Marketing the User (or Guardian User, as applicable) promises that the User is entitled to use the payment method selected by the User and that the User’s payment method has sufficient credit available to complete the corresponding payment . If User believes that someone has accessed or used their Account without permission, User must notify Seneca Digital Marketing LLC as soon as possible by contacting Seneca Digital Marketing LLC Support. Seneca Digital Marketing LLC has the right to close any Account with unauthorized charges.

Buy Premium Memberships fromSeneca Digital Marketing LLC.
When a User purchases Seneca Digital Marketing LLC Premium, a renewal subscription, User agrees that Seneca Digital Marketing LLC Premium will automatically renew and that Seneca Digital Marketing LLC is authorized to charge User accordingly until User cancels the subscription. Seneca Digital Marketing LLC will notify Users of any price increases or changes to subscription terms (such notification may be made by any reasonable means, including a message on the Platform). The user can cancel Seneca Digital Marketing LLC Premium at any time by following the instructions by sending a message from the contact form. If a user cancels Seneca Digital Marketing LLC Premium, the user can still enjoy it for the period of time the user already paid for, so enjoy! Remember: Only those over the age of 18 may purchase Seneca points or engage in other real money transactions on the Platform.

Removal of elements and CGU from the Services; No refunds.
Seneca Digital Marketing LLC has the right, at its discretion, to suspend the availability of, or remove from the Services, any content (including Experiences, Virtual Items, and any other UGC) without notice. Seneca Digital Marketing LLC is not responsible for any loss User suffers as a result of such suspension or removal, and Seneca Digital Marketing LLC is not obligated to refund any Seneca points or other funds User has spent on any content removed or suspended.

Trading on the platform:
Seneca Digital Marketing LLC allows Users to exchange Virtual Items on the Platform. Virtual Items can be exchanged for other Virtual Items, or for a combination of Seneca points and Virtual Items. When Users engage in a trade on the Platform, Seneca Digital Marketing LLC is entitled to a fee equal to up to 30% of the total amount of Seneca points exchanged in the transaction. If no Seneca points are exchanged for Seneca po as part of the exchange, Seneca Digital Marketing LLC will not receive any fees in connection with the transaction.
